Terms of Service

These Terms of Service ("Terms") govern your access to and use of Nexora (the "Service"), operated by Nexora Labs ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Acceptance

By continuing to use the Service you confirm that you accept these Terms and have authority to do so on behalf of any organization you represent, or that you are of legal age to form a binding contract.

2. The Service

Nexora provides an AI-powered workspace for chat, research, image generation, and project organization. We continuously improve the Service and may add, modify, or remove features.

3. Acceptable Use

You agree not to misuse the Service. In particular, you will not:

  • use the Service for any unlawful, fraudulent, or harmful activity;
  • send spam, malware, or attempt to compromise the security or integrity of the Service;
  • infringe the intellectual property, privacy, or other rights of any third party;
  • scrape, probe, or reverse engineer the Service or circumvent technical limits;
  • generate illegal content, deepfakes, hate speech, or content designed to deceive or harm.

4. AI Outputs and Your Content

You are responsible for the prompts you submit, the inputs you provide, and how you use any AI-generated outputs. You must have all necessary rights to your inputs, and you are responsible for verifying the accuracy and suitability of outputs before relying on them. AI outputs may be inaccurate or incomplete and are not a substitute for professional advice. We may remove, restrict, or refuse to generate content that violates these Terms, and we may suspend accounts that repeatedly infringe third-party rights.

5. Intellectual Property

The Service, including its software, design, branding, and documentation, is owned by Nexora Labs and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your subscription plan. You retain ownership of content you submit, and grant us a limited license to host and process that content solely to provide the Service.

6. Accounts

You must provide accurate information, keep your credentials confidential, and are responsible for activity under your account.

7. Payments and Subscriptions

Payments are securely processed by Paystack, our payment provider. Applicable taxes are calculated and collected at checkout. Subscriptions renew automatically until cancelled. You may cancel at any time from your account settings; access continues until the end of the current billing period. Upgrades take effect immediately and are prorated.

8. Service Level

We work hard to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

9. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability under these Terms is limited to the fees you paid for the Service in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special or consequential damages, including loss of profits, data or goodwill.

10. Suspension and Termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated policy violations. You may stop using the Service at any time. On termination, your right to use the Service ends and we may delete your account data after a reasonable period.

11. Changes

We may update these Terms from time to time. Material changes will be communicated via the Service or email.

12. Governing Law

These Terms are governed by the laws of the jurisdiction in which Nexora Labs is established, without regard to its conflict of laws principles.
